Terms and Conditions of Use for Grow ECD Resource Centre

Introduction

We are Grow Foundation NPC (“GROW”, “we” or “us”). We operate the Grow ECD Resource Centre at https://resources.growecd.org.za/ (“Website”) which provides a library of free downloadable policies, procedures, templates, educational guides and classroom tools for early childhood learning centres (“Content”).

These terms and conditions (“Terms”) apply to your use of the Content or any part of the Website, as well as any associated websites, services and products. Please read these Terms carefully to get a clear understanding of what the rules and restrictions are. By using the Website, you agree that you understand the Terms, that you are of 18 years or older and/or that you have the authority to form a binding contract with us.

The Website (or any part thereof) is not intended for use by individuals who are under the age of 18 years (“Child”).

You should not access or use the Website unless you agree to be bound by all of these Terms.

GROW may suspend or terminate access to the Website if any of these Terms are breached.

Usage

When using the Content, you agree and undertake NOT TO:

  1. Use it for any purpose unrelated to the operation of an early childhood learning centre, without GROW's prior express written authorization;
  2. Infringe or violate another person's rights, including privacy rights and intellectual property;
  3. Violate any of these Terms, or applicable laws and regulations;
  4. Engage in any unlawful, harmful, abusive, misleading, false, fraudulent, deceptive, threatening, harassing, defamatory, libelous, pornographic, obscene, profane or otherwise objectionable or discriminatory conduct;
  5. Violate or interfere with the proper functioning, integrity or security of the Website, including directly or indirectly via any virus, bug, spyware or similar operation intended to cause damage or hijacking; or
  6. Copy, modify, create derivative works from, reverse engineer, adapt, alter, emulate, translate, compile, decompile or disassemble the Website or its Content, in whole or in part, for purposes of sale or personal financial gain.

Intellectual Property

  1. All intellectual property in the Website and/or the Content, whether or not registered and/or capable of being registered (“Intellectual Property”), is owned by GROW and/or used with permission or under license from a third party (“Owner”), and is subject to copyright and other applicable intellectual property rights under applicable laws and international conventions.
  2. As between GROW and you, all right, title and interest in and to the Intellectual Property will, at all times, remain with GROW and/or the Owners. These Terms do not convey to you any interest in or to the Website, the Content, or any part thereof, but only a limited license of use in accordance with the Terms. You agree that no such right, license, or interest shall be asserted by you with respect to the Intellectual Property.

Disclaimers and Limitations of Liability

  1. Your use of the Website or reliance upon any Content provided by the Website is at your own risk. To the fullest extent permitted by applicable law, GROW expressly disclaims all representations or warranties of any kind, express or implied, relating to the Website or the Content, including without limitation any warranties of the Content's title, non-infringement, accuracy, correctness, completeness or legality. All such warranties, representations, conditions and undertakings are hereby expressly excluded.
  2. GROW further does not represent or warrant that the Website or any part thereof will always be available, accessible, functional, uninterrupted, secure, accurate, complete and error-free.
  3. GROW shall not be responsible or liable, directly or indirectly, for any damage or loss whatsoever caused, or alleged to be caused, by or in connection with use of, or reliance on, any third-party sites, or the Content, products or other materials available on or through any third-party sites.
  4. To the fullest extent permitted by applicable law, under no circumstances (other than death or personal injury caused by GROW's gross negligence or fraud) shall GROW be liable to you or to any other person for:
    1. any indirect, incidental, consequential, special, exemplary or punitive damages of any kind, including damages for loss of data, profits, revenue or goodwill, reputational harm, business interruption, accuracy of results, or computer failure or malfunction arising out of or in connection with the Website; or
    2. your use of the Content, even if we or any other person has foreseen or been advised of the possibility of such damages.

Changes to these Terms

We reserve the right to amend and update the Terms from time to time and in our sole discretion, without notice, provided that when we do so we will post the revised version of these Terms on the Website. If you continue to engage with us or access or use the Website after the amendments are made and displayed on the Website, you will be deemed to have accepted the revised Terms.

It is your responsibility to regularly check the Website to view the most up-to-date Terms and to discontinue use of the Content if you do not agree with the most up-to-date Terms.
